NOTICE TO THE PUBLIC YOU ARE HEREBY NOTIFIED that on July 10, 2018, at 9:00 o’clock a.m. at the Coweta County Justice Center, 72 Greenville Street, Newnan, Georgia 30263, the presiding Judge of the Superior Court of Coweta County will hear the case of STATE OF GEORGIA vs. COWETA COUNTY DEVELOPMENT AUTHORITY and SOUTHWEST 85 LOGISTICS CENTER, LLC, Civil Action File No. 2018-SU-V-724-JS in the Superior Court of Coweta County, the same being a proceeding to confirm and validate a Taxable Industrial Development Revenue Bond (Southwest 85 Logistics Center, LLC Project), Series 2018 (the “Bond”), in a maximum principal amount of $53,000,000, to be issued by the Coweta County Development Authority (the “Issuer”) pursuant to the terms of a resolution adopted by the Issuer, in order to develop and promote the expansion and development of industrial facilities within Coweta County (the “County”). The Bond is to be issued for the purpose of acquiring a capital project consisting of improvements on, and to be constructed on, land in the County and related building fixtures to be installed therein (the “Project”), which is to be leased by the Issuer to Southwest 85 Logistics Center, LLC (the “Company”), a Delaware limited liability company, for use as a distribution center. In such proceeding, the Court will also (a) hear and determine the validity of instruments relating to and providing security for the Bond, and (b) hear and determine such other questions of law and fact pertaining to the right of the Issuer to issue the Bond and to provide the security therefor. The Bond shall be a special and limited obligation of the Issuer, payable from funds provided by the Company or its successors, shall not be payable from taxes or other public funds, and no performance audit or performance review shall be conducted with respect to such bond issue. Any citizen of the State of Georgia residing in Coweta County, or any other person wherever residing who has a right to object, may intervene and become a party to these proceedings.

COWETA COUNTY DEVELOPMENT AUTHORITY and CORVAGLIA CLOSURES USA INC., Civil Action File No. 2018-SU-V-723-JS, in the Superior Court of Coweta County, Georgia, the same being a proceeding to confirm and validate the Coweta County Development Authority Taxable Revenue Bond (Corvaglia Closures USA Inc. Project), Series 2018 (the “Bond”) and the security therefor and related agreements. The Court will also pass on the validity of the aforementioned Lease Agreement, a certain Bond Purchase Agreement, dated as of July 1, 2018, or such later date to which the parties may agree (the “Bond Purchase Agreement”), between the Authority and the Company, as initial bond purchaser, a certain Memorandum of Understanding Regarding Lease Structure and Valuation of Leasehold Interest, dated as of July 1, 2018, or such later date to which the parties may agree (the “Memorandum of Understanding”), among the Authority, the Company and the Coweta County Board of Tax Assessors, a certain Project Agreement, dated effective February 12, 2018 (the “Project Agreement”), by and among the Company, the Authority, the Coweta County Water and Sewerage Authority, the Coweta County Board of Tax Assessors and Coweta County, Georgia, a certain Deed to Secure Debt and Security Agreement, dated as of July 1, 2018, or such later date to which the parties may agree (the “Security Agreement”), between the Authority and the Company, as initial bond purchaser, and the Bond Resolution. The project is identified as CW-082 in the regional transportation plan (no GDOT identification number has been assigned at this time). The selected firm would assist the City with project management and administration services to include budget oversight, oversight and coordination of designers and/or contractors, act as project liaison with outside agencies, etc. Environmental services include NEPA, history, ecology, archaeology, etc. site reviews, studies and reports required to comply with all GDOT and FHWA requirements. The fees for services will be negotiated with the top ranked firm.
